This document contains two parts. Part I sets out the Terms and Conditions governing use of the website and attendance at the Caribbean AI Summit. Part II sets out the Privacy Policy applicable to the website. Both are presented by PUERTO RICO ARTIFICIAL INTELLIGENCE COMMUNITY CORPORATION (Puerto Rico AI Community / PRAIC) a nonprofit organization dedicated to advancing education and democratizing access to artificial intelligence knowledge for the benefit of humanity and for all persons regardless of their level of experience.

PART I

Terms and Conditions of Attendance and Website Use

These Terms and Conditions (the “Terms”) govern access to and use of the website located at caribbeansummit.ai (the “Site”) and attendance at the Caribbean AI Summit and its related activities, including the hackathon, sessions, keynotes, workshops, receptions, and networking activities (collectively, the “Summit”). The Site and the Summit are organized and presented by PUERTO RICO ARTIFICIAL INTELLIGENCE COMMUNITY CORPORATION (also referred to as Puerto Rico AI Community and /or PRAIC) (“PRAIC,” “we,” “us,” or “our”), a nonprofit organization dedicated to advancing education and democratizing access to artificial intelligence knowledge for the benefit of humanity and for all persons regardless of their level of experience.

By accessing the Site, purchasing a ticket, registering for the Summit, or attending the Summit, you accept and agree to be bound by these Terms. If you do not agree, you should not use the Site, purchase a ticket, or attend the Summit.

1. Our Mission

PRAIC is the organizer of the Caribbean AI Summit. PRAIC operates on a nonprofit basis and promotes education, the democratization of access to artificial intelligence education, and the responsible use of artificial intelligence for the betterment of humanity. The Summit is intended to be open and accessible to all persons, from executives and technical builders to newcomers with no prior experience. These Terms are applied consistently with that mission.

2. Non Negotiable Terms; Acceptance

These Terms are offered on a take it or leave it basis and are not subject to negotiation, individual variation, or waiver except in a writing signed by an authorized representative of PRAIC. Acceptance of these Terms is a condition of purchasing a ticket and of attending the Summit. Continued use of the Site or attendance at the Summit constitutes ongoing acceptance of these Terms as they may be updated from time to time.

3. Ticketing Through Eventbrite

Ticket sales and registration for the Summit are processed by Eventbrite, an independent third party platform. The Site does not process payments. When you elect to purchase a ticket, you will be redirected to Eventbrite, and your purchase will be governed by Eventbrite’s own terms of service and privacy policy in addition to these Terms. PRAIC does not control Eventbrite and is not responsible for the availability, security, or performance of the Eventbrite platform. In the event of a conflict between these Terms and Eventbrite’s terms as to the mechanics of payment processing, the Eventbrite terms govern that subject matter, and these Terms govern all matters relating to attendance at and conduct during the Summit.

4. Pricing and Payment

All prices are stated in United States dollars and are exclusive of any Eventbrite service or processing fees, which are disclosed at checkout. Promotional pricing, including any launch pricing, is available only for the period stated and is subject to change or withdrawal at any time prior to purchase. A ticket is valid only once payment has been confirmed by Eventbrite.

5. No Refunds; Limited Review for Errors

All ticket purchases are final and are not refundable. By completing a purchase you acknowledge and agree that you are not entitled to a refund, in whole or in part, including in the event that you are unable to attend, that the program changes as permitted under these Terms, or that any speaker or session is altered, rescheduled, or cancelled.

Notwithstanding the foregoing, a refund may be requested in limited circumstances involving a genuine transactional error, such as a duplicate order or a duplicate charge for the same ticket. Any such request must be submitted in writing to caribbeanaisummit@gmail.com and is subject to review and verification by our team. Approval of any refund is at the sole and reasonable discretion of PRAIC and, where applicable, subject to Eventbrite’s processing. The availability of this limited review does not create any right to a refund outside of a verified error.

6. Ticket Transfers

Tickets are personal to the original purchaser and are not transferable in the ordinary course. In particular, tickets purchased at a discounted rate, including student, promotional, launch, or community pricing, may not be transferred or resold and are valid only for a person who meets the applicable eligibility criteria. Notwithstanding the foregoing, PRAIC may, in its sole and reasonable discretion, approve a genuine transfer request, for example where the original purchaser is unable to attend, submitted in writing to caribbeanaisummit@gmail.com reasonably in advance of the Summit. Any approved transfer must be completed through the procedures made available through Eventbrite. PRAIC is not responsible for transfers arranged outside of the Eventbrite platform and is not liable for any loss arising from an unauthorized or fraudulent transfer. Tickets may not be resold or transferred for commercial purposes, and PRAIC may cancel, without refund, any ticket transferred or resold in violation of this Section.

7. Program, Speakers, Agenda, Venue, and Dates Subject to Change

The published agenda, session list, speaker lineup, format, timing, and venue arrangements are provided for planning purposes and are subject to change. PRAIC uses good faith efforts to deliver the Summit substantially as announced. However, speakers are drawn from national and international locations, and their participation is contingent on factors outside our control, including flight schedules, travel conditions, personal availability, and scheduling. As a result, speakers, session content, timing, and format may be added, removed, substituted, rescheduled, or delivered remotely, and the venue configuration or dates may be adjusted, in each case without liability to PRAIC and without giving rise to any right to a refund. Announced content represents our current expectation and not a guarantee of any particular speaker or session.

8. Educational Purpose; No Professional Advice

The Summit and all content presented at it are provided for educational and informational purposes only. Nothing presented at the Summit, whether by PRAIC, a speaker, a panelist, a sponsor, or any other participant, constitutes legal, financial, investment, tax, medical, cybersecurity, or other professional advice, and none of it should be relied upon as such. No attorney client, advisory, fiduciary, or other professional relationship is created by attendance at the Summit or by any interaction with a speaker or participant. You should consult your own qualified professional advisors before acting on any information presented.

9. Independence of Speakers and Participants

Speakers, panelists, sponsors, mentors, and other participants are independent of PRAIC. Their statements, opinions, materials, and recommendations are their own and do not represent, and should not be attributed to, PRAIC or the Caribbean AI Summit. This applies to statements made during any session or activity, on the day of the event, and on social media or any other channel before, during, or after the Summit. Reference to any speaker, employer, product, or organization does not constitute an endorsement by PRAIC. PRAIC does not verify, adopt, or assume responsibility for the content of any third party presentation or statement.

10. Code of Conduct

The Summit is a shared space that reflects the values of PRAIC. All attendees, speakers, sponsors, and participants are expected to conduct themselves professionally and respectfully and to help maintain an environment free of harassment, discrimination, intimidation, and disruptive behavior. Prohibited conduct includes, without limitation, harassment of any kind, unwelcome physical or verbal conduct, hate speech, threats, and any behavior that endangers or interferes with the safety, participation, or enjoyment of others. In addition, the rules, policies, and security procedures of the Centro de Convenciones de Puerto Rico, the venue of the Summit, apply to all attendees, speakers, sponsors, and participants, each of whom must comply with those rules and with the instructions of venue personnel at all times while on the premises.

PRAIC reserves the right, in its sole and reasonable discretion and without refund, to deny entry to, remove, or prohibit further participation by any person who violates this code of conduct or who PRAIC determines poses a risk to the safety or orderly conduct of the Summit. Reports of misconduct may be directed to PRAIC staff on site or to caribbeanaisummit@gmail.com.

11. Photography, Recording, and Media Release

The Summit is photographed, recorded, and streamed. By attending, you acknowledge and agree that your image, voice, likeness, and statements may be captured in photographs, video, audio, and other recordings, and you grant to PRAIC a perpetual, worldwide, royalty free, irrevocable license to use, reproduce, edit, publish, distribute, and display such recordings for educational, promotional, archival, and related purposes, in any medium now known or later developed, without further notice, approval, or compensation. If you do not wish to be recorded, you must notify PRAIC staff and take reasonable steps to remove yourself from active recording areas; PRAIC cannot guarantee exclusion from incidental capture in general audience or venue footage.

You may not record, photograph, stream, or reproduce any session, presentation, or materials for redistribution or commercial purposes without the prior written consent of PRAIC and the relevant presenter.

12. Intellectual Property

The Site, the Caribbean AI Summit name and marks, the PRAIC name and marks, and all content prepared by or for PRAIC, including agendas, graphics, text, and recordings produced by PRAIC, are the property of PRAIC or its licensors and are protected under applicable intellectual property laws. Session materials presented by speakers remain the property of their respective owners. Nothing in these Terms grants you any right to use any mark, logo, or content of PRAIC, any speaker, or any sponsor without prior written authorization.

13. Assumption of Risk; Health and Safety

Attendance at the Summit is voluntary. You are responsible for your own health, safety, and belongings. You agree to comply with all venue rules and with the instructions of PRAIC staff and venue personnel. To the fullest extent permitted by law, you assume the risks inherent in attending a large in person gathering, and you release PRAIC from liability for personal injury, illness, or loss of property except to the extent caused by the gross negligence or willful misconduct of PRAIC.

14. Force Majeure

PRAIC is not liable for any failure or delay in performing its obligations, including any postponement, relocation, curtailment, or cancellation of the Summit, arising from causes beyond its reasonable control. Such causes include, without limitation, acts of God; hurricanes, storms, floods, and other severe weather; earthquakes; fire; power surges, blackouts, brownouts, voltage fluctuations, and other interruptions or instability of the electrical grid or utility service in Puerto Rico; failures of telecommunications or internet service; water or infrastructure failures; epidemics and public health emergencies; government orders, restrictions, or advisories; strikes or labor disputes; acts of terrorism, civil unrest, or war; venue unavailability; and the failure or unavailability of speakers or third party providers. If a force majeure event prevents PRAIC from holding the Summit as planned, PRAIC will use good faith efforts to reschedule, relocate, or otherwise adapt the Summit, and such an event does not entitle any attendee to a refund.

15. Disclaimers; No Warranties

The Site and the Summit are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, PRAIC disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, accuracy, and non infringement. PRAIC does not warrant that the Site will be uninterrupted or error free, that the Summit will meet your expectations, or that any particular result, benefit, or outcome will follow from attendance.

16. Limitation of Liability

To the fullest extent permitted by law, PRAIC and its officers, directors, volunteers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Site, a ticket purchase, or attendance at the Summit, regardless of the theory of liability and even if advised of the possibility of such damages. In all cases, the aggregate liability of PRAIC arising out of or relating to these Terms, the Site, or the Summit shall not exceed the amount actually paid by you for your ticket. Nothing in these Terms limits liability that cannot be limited under applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless PRAIC and its officers, directors, volunteers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your attendance at the Summit, your violation of these Terms, or your violation of any law or of the rights of any third party.

18. Privacy

Your use of the Site is subject to our Privacy Policy, set out in Part II of this document and incorporated into these Terms by reference. Personal information collected in connection with ticketing is processed by Eventbrite under its own privacy policy.

19. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms, the Site, or the Summit shall be brought exclusively in the Court of First Instance of Puerto Rico, San Juan Judicial Center, or, where federal jurisdiction exists, in the United States District Court for the District of Puerto Rico, and you consent to the personal jurisdiction and venue of those courts.

20. Class Action Waiver

To the fullest extent permitted by law, you and PRAIC agree that any dispute will be resolved on an individual basis only. You waive any right to bring or participate in any class, collective, consolidated, or representative action against PRAIC. If this waiver is found unenforceable as to any particular claim, that claim shall be severed and adjudicated individually, and the remainder of this provision shall remain in effect.

21. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any terms presented at the point of purchase, constitute the entire agreement between you and PRAIC regarding their subject matter and supersede any prior understanding.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Waiver. The failure of PRAIC to enforce any provision is not a waiver of its right to do so later.

Assignment. You may not assign these Terms without the prior written consent of PRAIC, except through a permitted ticket transfer. PRAIC may assign these Terms in connection with the organization or delivery of the Summit.

Amendments. PRAIC may update these Terms at any time by posting the revised version on the Site, with the updated effective date shown above. Continued use of the Site or attendance at the Summit after such posting constitutes acceptance of the revised Terms.

PART II

Privacy Policy

This Privacy Policy explains how [Puerto Rico AI Community / PRAIC] (“PRAIC,” “we,” “us,” or “our”) collects, uses, and shares information in connection with the website located at caribbeansummit.ai (the “Site”) and the Caribbean AI Summit (the “Summit”). PRAIC is a nonprofit organization dedicated to advancing education and democratizing access to artificial intelligence knowledge for the benefit of humanity and for all persons regardless of their level of experience. We are committed to handling personal information responsibly and consistently with that mission.

By using the Site, you agree to the practices described in this Privacy Policy.

1. Scope of This Policy

This Privacy Policy applies to information collected through the Site and through direct communications with PRAIC. It does not apply to information collected by third parties that operate their own platforms and policies.

In particular, ticket purchases and registration for the Summit are processed by Eventbrite, an independent third party. When you purchase a ticket, you are redirected to Eventbrite, and the information you submit to complete that purchase is collected and processed by Eventbrite under its own privacy policy. We encourage you to review Eventbrite’s privacy policy to understand how it handles your information. We receive certain attendee information from Eventbrite in order to administer the Summit, as described below.

2. Information We Collect

Information you provide directly. If you contact us, subscribe to updates, complete a form, apply to the hackathon, or otherwise communicate with us, we may collect the information you choose to provide, such as your name, email address, and the content of your message.

Information we receive from Eventbrite. In connection with ticketing and registration, we may receive from Eventbrite information such as your name, email address, ticket type, and order status, so that we can administer attendance, communicate event logistics, and provide support.

Information collected automatically. When you visit the Site, we and our service providers may automatically collect certain technical information, such as your IP address, device and browser type, pages viewed, referring pages, and interactions with the Site, through cookies and similar technologies.

We do not intentionally collect sensitive personal information through the Site, and you should not submit such information to us.

3. How We Use Information

We use the information described above to:

  • operate, maintain, and improve the Site;

  • respond to your inquiries and provide support;

  • administer registration, attendance, and Summit logistics, including the hackathon;

  • send you event related communications and, where you have opted in, newsletters and updates about PRAIC and its activities;

  • understand how the Site is used and improve the attendee experience;

  • protect the security and integrity of the Site and the Summit; and

  • comply with applicable law and enforce our Terms and Conditions.

4. Cookies and Analytics

The Site uses cookies and similar technologies to enable core functionality, remember your preferences, and measure traffic and usage through analytics tools. You can control cookies through your browser settings, although disabling certain cookies may affect the functionality of the Site. Where required by applicable law, we will seek your consent for non essential cookies.

5. How We Share Information

We do not sell your personal information. We may share information in the following limited circumstances:

  • Service providers. With vendors and platforms that support the Site and the Summit, such as Eventbrite, website hosting providers, analytics providers, and email or communications providers, who process information on our behalf.

  • Legal and safety. Where we believe in good faith that disclosure is necessary to comply with law, respond to legal process, enforce our Terms and Conditions, or protect the rights, safety, or property of PRAIC, attendees, or the public.

  • With your direction. Where you ask us to share your information, or where you knowingly provide it through a shared feature of the Site or Summit.

We do not share attendee contact information with sponsors for their independent marketing unless you have separately and affirmatively opted in.

6. Third Party Links and Platforms

The Site contains links to third party sites and platforms, including Eventbrite, sponsors, and speakers. We are not responsible for the privacy practices or content of those third parties. Their handling of your information is governed by their own policies.

7. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this Privacy Policy, to administer the Summit and our relationship with you, and to comply with our legal obligations, after which we take reasonable steps to delete or de identify it.

8. Your Choices and Rights

You may unsubscribe from our marketing communications at any time using the link provided in those communications. Depending on your location, you may have rights to request access to, correction of, or deletion of your personal information, to object to or restrict certain processing, and to request a copy of your information. To exercise any available right, contact us at caribbeanaisummit@gmail.com. We will respond consistently with applicable law. Requests concerning information processed by Eventbrite should be directed to Eventbrite.

9. International Visitors and Data Transfers

The Summit draws attendees and speakers from Puerto Rico, the United States, and other countries. If you access the Site from outside Puerto Rico or the United States, you understand that your information may be processed in Puerto Rico or the United States, where data protection laws may differ from those of your jurisdiction. Where required, we take steps to provide an appropriate level of protection for such transfers.

10. Security

We use reasonable administrative, technical, and organizational measures designed to protect personal information against unauthorized access, loss, misuse, or alteration. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

11. Children’s Privacy

The Site and the Summit are intended for adults. The Summit is an event for persons aged eighteen and older, and the Site is not directed to children. We do not knowingly collect personal information from children. If you believe a child has provided us with personal information, contact us so that we may take appropriate action.

12. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will revise the effective date shown above and post the updated version on the Site. Your continued use of the Site after such posting constitutes acceptance of the updated Privacy Policy.
